Via 313 reserves the right to investigate and take appropriate legal action against anyone who, in Via 313's sole discretion, violates these provisions, including without limitation reporting violators to appropriate law enforcement authorities.

5. Ordering, Payments, and Refund Policy

5.1 Placing Orders

When you place an order through the Site, you are making an offer to purchase the selected food items subject to these Terms. All orders are subject to acceptance by Via 313. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, errors in pricing or product descriptions, or suspected fraudulent activity.

Order confirmation does not constitute acceptance of your order. Acceptance occurs when we begin preparation of your order. You will receive an email or on-screen confirmation upon successful placement of your order.

5.2 Pricing and Availability

All prices displayed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable taxes, which will be calculated and displayed during checkout. Menu items and availability may vary by location and are subject to change at any time.

In the event of a pricing error on our Site, Via 313 reserves the right to cancel orders placed at the incorrect price, even after confirmation. We will notify you promptly and offer either a corrected order at the accurate price or a full refund.

5.3 Payment Terms

By providing payment information, you represent and warrant that you are authorized to use the designated payment method. You authorize Via 313 to charge your selected payment method for the total order amount, including applicable taxes and fees. All payments are processed securely through third-party payment processors. Via 313 does not store full credit card information on its servers.

Accepted forms of payment may include major credit cards (Visa, MasterCard, American Express, Discover), debit cards, digital wallets, and other payment methods as displayed at checkout. Payment is due at the time of order placement.

5.4 Cancellations and Refunds

Due to the perishable nature of food products, all sales are generally final once an order has been accepted and preparation has begun. If you receive an order that is incorrect, damaged, or of unacceptable quality, please contact us within a reasonable time of receipt. 6. Intellectual Property Rights

The Via 313 name, logo, brand elements, and all related names, logos, product and service names, designs, and slogans are trademarks of Via 313. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes only. This license does not include the right to:

The foregoing disclaimers apply to the maximum extent permitted by applicable law. Some states do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

In any event, Via 313's total liability to you for all claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the total amount paid by you to Via 313 in the twelve (12) months preceding the claim; or (b) one hundred United States dollars ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Via 313 and you. Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you. In such cases, Via 313's liability shall be limited to the greatest extent permitted by applicable law.

Nothing in these Terms shall limit or exclude Via 313's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Via 313 and its officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use of the Site or Services, including any data or content transmitted or received by you;
  • Your violation of any third-party rights, including without limitation any intellectual property rights, privacy rights, or contractual rights;

  • Any dispute between you and any third party, including other users or delivery partners.

Via 313 reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Via 313's defense of such claims. You shall not settle any claim without Via 313's prior written consent.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Via 313 operates, without regard to conflict of law principles. The Federal Arbitration Act governs the arbitration provisions set forth in Section 13.

You agree that any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you consent to the personal jurisdiction and venue of such courts.

Via 313 operates in compliance with applicable federal consumer protection laws, including but not limited to the Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., and applicable state consumer protection statutes. If Via 313 operates in or directs its services to California residents, the Company also acknowledges obligations under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), Cal. Civ. Code § 1798.100 et seq.

These Terms do not limit any consumer protection rights that you may be entitled to under the mandatory laws of your state of residence.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute, claim, or controversy with Via 313 informally. To initiate informal dispute resolution, please send a written notice describing your claim to [email protected]. Via 313 will attempt to resolve the dispute within thirty (30) days of receipt of your notice. If the dispute cannot be resolved informally within thirty (30) days, either party may proceed to arbitration as set forth below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, the Services, or your relationship with Via 313 shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

The arbitration shall take place in the United States in the jurisdiction where Via 313 is principally located, unless otherwise required by law or agreed by the parties. The arbitrator may award any relief that would be available in court, but shall have no authority to conduct a class-wide arbitration or consolidate arbitrations.

13.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, the entirety of this arbitration section shall be null and void.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Claims that may be brought in small claims court are also exempt from the arbitration requirement.

14. Term and Termination

These Terms shall remain in full force and effect while you use the Site or Services. Via 313 reserves the right, in its sole discretion, to:

  • Terminate or suspend your access to all or any part of the Site or Services at any time, with or without cause, with or without notice;
  • Delete your account and all associated information and content;
  • Refuse future use of the Site or Services to you.

Grounds for termination include, but are not limited to, violations of these Terms, suspected fraudulent activity, abusive behavior toward Via 313 personnel, or legal requirements.

You may terminate your account at any time by contacting us at [email protected] with a request to close your account. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment for orders placed.

Upon termination of these Terms for any reason:

  • The license granted to you under Section 6 will immediately terminate;
  • You must cease all use of the Site and Services;
  • All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, limitation of liability, dispute resolution, and governing law provisions.

15. Changes to Terms

Via 313 reserves the right to update, modify, or replace any part of these Terms of Service at any time in its sole discretion. Changes will be effective immediately upon posting to the Site unless otherwise indicated. The date of the most recent revision will be indicated at the top of this page under "Last Updated."

It is your responsibility to check this page periodically for changes. Significant changes may also be communicated via email to registered account holders. Your continued use of or access to the Site following the posting of any changes to these Terms constitutes acceptance of those changes. 16. Severability

If any provision, term, clause, or portion of these Terms of Service is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, void, or unenforceable for any reason, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any such provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

The parties agree to negotiate in good faith to replace any invalid or unenforceable provision with a valid provision that achieves, to the greatest extent possible, the original commercial and legal intent of the invalid provision.

17. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices, agreements, or policies published by Via 313 on the Site, constitute the entire agreement between you and Via 313 with respect to your use of the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

The failure of Via 313 to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver by Via 313 of any breach or default shall be deemed a waiver of any subsequent breach or default. A waiver shall only be effective if made in writing and signed by an authorized representative of Via 313.

By using the Site or Services or communicating with us electronically, you consent to receive communications from Via 313 electronically, including emails, notices posted on the Site, and other electronic communications. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

Please note that opting out of marketing communications will not affect transactional or service-related communications necessary to fulfill your orders.

19. Force Majeure

Via 313 shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, supply chain disruptions, strikes or labor disputes, power outages, cyberattacks, civil unrest, war, or any other force majeure event ("Force Majeure Event").

In the event of a Force Majeure Event, Via 313 will use commercially reasonable efforts to resume performance as soon as practicable. We will notify you of the impact of any Force Majeure Event on Services you have ordered.

20. Age Restrictions

The Site and Services are intended for individuals who are eighteen (18) years of age or older. By using our Site, you affirm that you are at least eighteen (18) years of age. Via 313 does not knowingly collect personal information from minors under the age of thirteen (13) in compliance with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. § 6501 et seq.
